1. The agreement
InvoiceKit is operated by Nishit Sharma, a sole proprietor trading as Nexflow AI Labs, Bengaluru, Karnataka, India ("we", "us"). By creating an account or using InvoiceKit you agree to these terms and to our privacy policy. If you use InvoiceKit for a company or firm, you confirm you can bind it, and "you" means that business.
2. Who can use it
You must be 18 or older and use InvoiceKit for business or professional purposes — invoicing work you or your business supplies. InvoiceKit isn't a consumer product.
3. What InvoiceKit does
InvoiceKit lets you record clients, create invoices, apply GST, TDS or UAE VAT treatment based on the details you enter, number and lock invoices when sent, share them by link or email, record payments and expenses, and prepare summaries and files that help you file returns.
It does not currently collect payments, generate e-invoice IRNs, issue credit notes, or file any return on your behalf. We'll describe features accurately on the website and in the app, and update those descriptions when they change.
4. Not tax advice
- You're responsible for the accuracy of what you enter — your registrations, your clients' locations and tax numbers, SAC codes, exchange rates and amounts — and for every invoice you issue and return you file.
- The tax treatment InvoiceKit suggests may not fit your situation. For example, it applies TDS at 10% (professional fees), not the 2% rate for fees for technical services; it treats services to overseas clients as zero-rated exports, which depends on conditions it can't verify.
- Rates, thresholds and deadlines change. We aim to update InvoiceKit promptly when they do, but check anything you rely on with a qualified professional.
- Files InvoiceKit produces, such as the GSTR-1 JSON, must be checked by you before you upload them anywhere.
5. Your account
- Give accurate details and keep them up to date.
- Keep your sign-in secure and don't share it. You're responsible for activity under your account.
- Tell us within 72 hours of discovering any unauthorised use of your account.
6. Your content
Everything you put into InvoiceKit — business details, logos, signatures, clients, invoices, payments, expenses — remains yours. You give us a non-exclusive, worldwide licence to store, process, display and transmit it only as needed to run InvoiceKit for you, including rendering your invoices on hosted links you share. This licence ends when your content is deleted, except for copies in backups that expire on their normal cycle.
You confirm you have the right to upload the logos, signatures and other material you add, and that it doesn't infringe anyone else's rights.
Sent invoices are locked: their numbers, figures and parties can't be edited or deleted in the app. This keeps your number series gapless and your records consistent with what your client received.
7. Your clients' data and emails
- For your clients' personal data, you decide what's entered and why, and we process it on your behalf as described in the privacy policy. You're responsible for having a lawful basis to use it and for telling your clients how you do.
- Anyone with an invoice link can view that invoice. Share links only with the intended recipient.
- When InvoiceKit emails a client for you, the email is sent in your business's name with replies going to your billing email. Send only genuine invoices, reminders and receipts for work you've actually supplied. Automatic reminders stop when an invoice is paid, or when you switch them off for that invoice.
8. Acceptable use
Don't use InvoiceKit to:
- issue fake, inflated or fraudulent invoices, or invoices for goods or services not supplied;
- impersonate another business, or use a GSTIN, TRN or PAN that isn't yours to use;
- send spam or harass anyone;
- upload malware, or try to access other accounts, probe or overload our systems, or bypass security or usage limits;
- copy, resell or build a competing product from the service itself;
- break any law, including tax, data-protection and anti-money-laundering laws.
9. Pricing
InvoiceKit is free during early access. If we introduce paid plans:
- we'll email every account holder at least 30 days before any charge could apply;
- nothing is charged unless you actively choose a paid plan;
- if you don't choose one, you'll keep read and export access to everything you've created for at least 90 days after paid plans start.
10. Availability and changes to the service
During early access we provide InvoiceKit on a best-effort basis, without a guaranteed uptime level. We'll try to schedule maintenance outside Indian business hours.
We may add, change or remove features. If we remove a feature you use in a way that materially reduces the service, we'll give at least 30 days' notice by email, except where immediate change is required by law or to fix a security risk.
If we decide to shut InvoiceKit down, we'll give at least 90 days' notice by email, and exports stay available throughout that period.
11. Export and deletion
You can export your invoice ledger as CSV and each invoice as HTML or PDF at any time. You can ask us to delete your account at any time by emailing us from your account email; we'll delete it and its data from live systems within 30 days and confirm when done. Export first — deletion can't be undone, and you may need your invoices for your own record-keeping obligations.
12. Suspension and termination
- You can stop using InvoiceKit at any time.
- If you breach these terms, we'll email you describing the breach and give you 7 days to fix it before we suspend your account.
- We may suspend immediately, and explain why by email within 48 hours, if your use is unlawful, fraudulent, or puts the service or other users at immediate risk.
- After suspension or termination for breach, you'll still have 30 days to export your data, unless the law prevents it. After that, section 11's deletion process applies.
13. Our intellectual property
The InvoiceKit software, design, name and logo belong to us or our licensors. These terms give you the right to use the service; they don't transfer any ownership. Invoices you generate are yours to use however you like.
14. Warranties
We'll provide InvoiceKit with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided "as is" and "as available", without other warranties, express or implied, including fitness for a particular purpose or that it will be error-free or uninterrupted.
15. Limits of liability
- Neither party is liable to the other for indirect or consequential losses, or for lost profits, revenue or goodwill.
- Our total liability to you for all claims in any 12-month period is limited to the greater of the fees you paid us in that period and ₹5,000.
- We aren't responsible for tax, interest or penalties arising from invoices you issue or returns you file, since section 4 makes you responsible for them.
- Nothing in these terms limits liability for fraud, wilful misconduct, or anything else that can't be limited by law.
16. Indemnities
You'll cover our reasonable costs and losses from third-party claims caused by your content, your invoices, or your breach of section 8. We'll cover your reasonable costs and losses from third-party claims that the InvoiceKit software itself, used as permitted, infringes their intellectual property. In each case, the party seeking cover must tell the other promptly and let it control the defence.
17. Governing law and disputes
These terms are governed by the laws of India. Before starting any formal proceedings, each party will first try to resolve a dispute by written notice and good-faith discussion for 30 days. If it isn't resolved, the courts at Bengaluru, Karnataka have exclusive jurisdiction.
18. Changes to these terms
For material changes, we'll email account holders and show a notice in the app at least 30 days before the change takes effect. If you don't agree, you can export your data and close your account before then; continuing to use InvoiceKit after the effective date means you accept the new terms. Minor clarifications take effect when posted.
19. General
- These terms and the privacy policy are the whole agreement between us about InvoiceKit.
- If a provision is found unenforceable, the rest stays in effect.
- Not enforcing a right straight away doesn't waive it.
- You may not transfer these terms without our written consent. We may transfer them to a successor running InvoiceKit, with 30 days' notice by email.
- Neither party is liable for delays caused by events beyond its reasonable control, such as outages at infrastructure providers, as long as it resumes performance as soon as practical.
